I'm taking english grade 12 university level online next semester and im wondering if it counts the same as eng4ui. because I want to apply to university, so i just need to make sure that online grade 12 english is valid for admission.

Should be valid, but the typical disclaimer applies -- when in doubt, contact the admissions officer.

I believe that marks from online classes receive a penalty (possibly because the marks are inflated more than usual).

No idea. It's up to the University to guess what your mark would have been like, if you had taken in-school class instead.
